Terms of Service
These terms are the agreement between you and us when you use MerchMesh. By creating an account or installing the app, you accept them.
1. Who we are
MerchMesh is operated by DALI GAMES Prosta Spółka Akcyjna, doing business as MerchMesh, registered at ul. Na Ostatnim Groszu 3, 54-207 Wrocław, Poland, NIP 8943202508, KRS 0001011601. In these terms, "we" and "us" means that company; "you" means the person or business using MerchMesh.
2. What the service does
MerchMesh takes a product photo and the product details you provide, and produces images and written copy for a product listing. It runs as an app inside Canva and, where offered, as a web application. Outputs are drafts intended for you to review, edit and publish under your own name.
3. Your account
You must give accurate registration details and keep your login credentials secure. You are responsible for everything done through your account. Tell us promptly at contact@merchmesh.eu if you believe someone else has access to it. You must be at least 16 years old and, if you are using MerchMesh for a business, you confirm you are authorised to accept these terms on its behalf.
4. What you may not do
- Upload content you do not have the rights to use, including photographs, logos or trademarks belonging to someone else.
- Upload photographs of identifiable people without their consent, or any sensitive personal data.
- Use MerchMesh to create listings for illegal products, counterfeit goods, or anything that infringes third-party rights.
- Produce content that is deceptive about a product's origin, composition, safety or performance.
- Attempt to reverse engineer, resell, scrape or overload the service, or bypass usage limits.
- Use the service to build or train a competing product.
If you break these rules we may suspend or close your account. Where it is reasonable to do so, we will warn you first.
5. Your content stays yours
You keep all rights in the photos and details you upload. You grant us a limited, non-exclusive, worldwide licence to host, process and transmit that content, and to pass it to the providers listed in our Privacy Policy, purely so that we can operate the service for you. That licence exists only to run MerchMesh, ends when you delete the content, and does not let us use your content for anything else.
We do not use your content to train AI models of our own. The AI providers we use to create your kit process it under their own terms, as described in the Privacy Policy.
6. The output
Subject to your paying any fees due, we assign to you whatever rights we hold in the images and copy MerchMesh generates for you. You may use them commercially, including on your own store and marketplace listings.
Two honest limitations you should understand before relying on the output:
- Generated output is not guaranteed to be unique. Generative systems can produce similar results for similar inputs, and we cannot promise that comparable images will not be produced for another user.
- You are responsible for what you publish. MerchMesh asks you to confirm the details it cannot read from your photo, and uses only what you confirm — but the final listing is yours. Check that measurements, materials, compatibility and any claim about the product are accurate before you publish, particularly where consumer or advertising law applies to your market.
7. Plans, payment and cancellation
Current plans and prices are shown at merchmesh.eu. Paid plans are billed in advance on a recurring basis and renew automatically until cancelled. You can cancel at any time from Manage subscription in the MerchMesh app, or, if you pay through Shopify, from the apps section of your Shopify admin; cancellation takes effect at the end of the period you have already paid for, and you keep access until then.
We may change prices, and will give you at least 30 days' notice before a change affects your renewal. If you are a consumer in the EU you may have a statutory right to withdraw within 14 days, and nothing here removes that right.
8. Availability
We aim to keep MerchMesh available, but we do not promise uninterrupted service. We may need to suspend it for maintenance, and we may change or discontinue features. If we discontinue a paid feature you rely on, we will give you reasonable notice and a pro-rated refund for the unused period.
9. Third-party platforms
MerchMesh works alongside Canva and can produce assets intended for Shopify stores. We are not affiliated with, endorsed by or sponsored by Canva or Shopify. Your use of those platforms is governed by their own terms, and we are not responsible for their availability, their policies or changes they make.
10. Our intellectual property
The MerchMesh software, brand, name, logo and templates belong to us. These terms give you a licence to use the service, not ownership of it.
11. Disclaimers and liability
The service is provided "as is". To the extent the law allows, we exclude implied warranties of merchantability and fitness for a particular purpose.
We are liable to you only for foreseeable loss caused by our breach of these terms. We are not liable for lost profits, lost sales, lost data or business interruption.
Nothing here limits liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot be limited by law. If you are a consumer, your statutory rights are unaffected.
12. Ending the agreement
You may close your account at any time. We may suspend or close your account if you breach these terms, if we are required to by law, or if we discontinue the service entirely — in which case we will give notice and refund any unused paid period. Kits you have already published to your store or saved in Canva stay there. Your data held by MerchMesh is deleted as described in the Privacy Policy.
13. Changes to these terms
We may update these terms. For material changes we will give you at least 30 days' notice by email or in the app. If you do not accept a change, you may close your account before it takes effect and receive a refund for any unused paid period.
14. Governing law
These terms are governed by Polish law, and the courts of Wrocław, Poland have jurisdiction. If you are a consumer, you keep the protection of the mandatory law of the country where you live, and you may bring proceedings there.
